CertisTalk Terms of Use

Welcome to the CertisTalk services ('Service'). These Terms of Use ('Terms') govern your access to and use of the Services offered by CertisTalk ('Company', 'we', 'us', 'our'). By using our Services, you declare that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use the Services.
1. Definitions
Certain terms used in these Terms have the following meanings, unless otherwise stated:
Company / CertisTalk / We: Refers to the legal entity providing the CertisTalk services.
Service(s): Refers to all software, platforms, tools, features, websites, and related services offered by CertisTalk.
User / You: Refers to any natural or legal person who accesses or uses the CertisTalk Services.
Account: Refers to the unique account created and used by the User to access the Services.
Package / Subscription: Refers to the plans of CertisTalk Services offered with specific features and/or usage limits in exchange for periodic payment.
Add-on Package: Refers to products/services that can be purchased in addition to an existing Package or independently, usually offering one-time usage limits or additional features.
2. Use of the Services
Eligibility: To use the Services, you must be of legal age to enter into a binding contract (18 years of age or older for citizens of the Republic of Turkey) and not be legally prohibited from using the Services.
Account Responsibility: You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account and password. You are responsible for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized use.
Acceptable Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:
Using the Service for any illegal purpose.
Violating the security of the Service or damaging the Service, servers, or networks.
Uploading viruses, malware, or other destructive code.
Harassing, abusing, or harming other users.
Reselling or leasing the Service without authorization.
Infringing on our intellectual property rights.
Changes to the Service: We reserve the right to modify, suspend, or terminate the Service and its features without prior notice.
3. Subscriptions, Packages, Pricing, and Refund Policy
Packages and Fees: The fees and package details applicable to the use of the Services are specified in the Service descriptions or on the payment page. All fees do not include applicable taxes, and these taxes may be charged to you separately.
Payment: All payments must be made in advance and through valid payment methods. Payment transactions are carried out through reliable third-party payment service providers like PayTR, and your credit card data is not stored by us. It is your responsibility to ensure that your payment information is current and accurate. In case of non-payment, our system will retry the payment for 3 (three) days. If payment is not made at the end of this period, your account may be suspended and your access to the Services may be stopped.
Automatic Renewal: The Packages you purchase will be automatically renewed periodically unless canceled by you. The renewal fee is automatically charged at the beginning of the relevant period.
Subscription Cancellation: You can cancel your subscription at any time through your user panel. When you cancel, you will continue to use the Services until the end of your current billing period, and you will not be charged for the next period.
Price Change: The Company reserves the right to change the Service fees. Price changes will be notified to existing subscribers by email at least 1 (one) week in advance. If you do not cancel your subscription, renewals will continue at the updated price.
Usage Limits and Package Overage: When the usage limits within the package (e.g., AI chat quota) are reached, the relevant Service feature will be automatically disabled. You may need to purchase an additional package/credit to continue using it. There is no automatic billing for package overage.
Refund Policy (Digital Services and Add-on Packages):
The services offered by CertisTalk are digital in nature and begin to be consumed upon delivery or commencement of use of the product/service.
Right of Withdrawal (For Subscriptions): In accordance with the relevant legislation of the Republic of Turkey (Law on the Protection of the Consumer and Regulation on Distance Contracts), you can exercise your right of withdrawal within 14 (fourteen) days from the date of purchase of the Service. However, this right of withdrawal is conditional on you having used less than twenty percent (20%) of the digital service you purchased (e.g., 200 chats for a 1000 chat package) and the service having been delivered to you completely and without defects. When the usage threshold is exceeded (e.g., the 201st message), the right of withdrawal and the associated right to a refund are completely eliminated.
Refund for Add-on Packages: Since add-on packages offer one-time usage rights or additional features that are activated and begin to be used immediately upon purchase, there is no right to a refund for such packages. No refund will be made even if the content of the add-on package is not fully used.
Defective Service: Cases where the service is defective or cannot be used due to a serious and permanent technical problem caused by us are outside these refund conditions, and your legal rights are reserved in such cases. The claim of defective service will be examined by us, and if found to be justified, a refund or compensation will be provided.
Refund Procedure: You must notify us of your refund request in writing (by sending an email to info@certistalk.com) within the 14-day period and provided that you have not exceeded the usage threshold. Refund processes will be carried out within a reasonable time after your request is approved.
4. Intellectual Property Rights
The Services and their content (text, graphics, logos, images, software, code, etc.) are owned by CertisTalk or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, publish, adapt, distribute, or sell the Service or its content without our express written permission.
5. Data Processing and Privacy
The processing and protection of your personal data are detailed in the CertisTalk Privacy Policy. By using the Services, you consent to the collection, use, and processing of your Personal Data in accordance with the Privacy Policy. CertisTalk commits to acting in accordance with all relevant legal regulations, especially the Law on the Protection of Personal Data (KVKK).
6. Data Retention, Account Suspension, and Deletion
Data Retention: Data regarding the User's use of the Services (messaging content, usage data, etc.) will be retained for the duration of the use of the Services and for the legal retention periods, subject to relevant legal regulations and obligations.
Account Suspension: Accounts suspended for reasons such as payment failure can regain access to existing chat histories and data upon payment or reactivation of the subscription. Your data will not be deleted during the suspension period.
Data Deletion After Account Deletion / Subscription Cancellation: In the event of permanent deletion of the user account or final cancellation of the subscription, all personal data and chat histories will be permanently deleted within 90 (ninety) days from the date of cancellation or deletion, subject to relevant legal regulations and retention obligations (e.g., commercial records, legal requirements for storing communications). Users who reactivate their subscriptions within this 90-day period can access their existing chat histories and data. After 90 days, an irreversible deletion process will be carried out.
7. Corporate Accounts and Team Management
The main account holder is responsible for the use of the Services by all sub-users/team members they add through the Service and for their compliance with these Terms.
The main account holder can individually define the permissions and access levels of the sub-users under their control from the Service panel.
CertisTalk may offer special billing or Service Level Agreements (SLAs) to corporate customers; such cases are regulated by separate contracts.
8. Downtime and Warranty
Service Interruptions: CertisTalk cannot be held responsible for temporary interruptions or unavailability of the Services, including planned maintenance, technical failures, force majeure (natural disasters, cyber-attacks, etc.), and other situations beyond CertisTalk's control. Planned maintenance will be notified in advance as much as possible.
Compensation: In the event that the Service is significantly unavailable due to interruptions originating from CertisTalk and not covered by planned maintenance, the Company may, at its sole discretion, offer additional days to the Service period for affected Users. This will be the User's sole and exclusive remedy.
Warranty Disclaimer: The Services are provided "as is" and "as available". CertisTalk does not provide any warranty that the Services will be uninterrupted, error-free, or secure.
9. Indemnification
You agree to indemnify and hold harmless CertisTalk, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your violation of these Terms or your use of the Services.
10. Termination and Suspension
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever.
In particular, if it is determined that you are using the Services illegally, maliciously (e.g., sending spam, fraud, or illegal content), or in a manner that violates these Terms, your account may be instantly and permanently suspended or terminated.
11. API Usage and Third-Party Integrations
API access and third-party integration features provided by CertisTalk are offered subject to these Terms.
The User is solely responsible for the security of API keys and integration codes. The user is responsible for any security breach or misuse resulting from the user sharing their API key or integration code with third parties.
The User is obligated to comply with the terms and conditions and privacy policies of the relevant third party when using third-party integrations.
12. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms shall be resolved in the competent courts in the Republic of Turkey.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make any changes, we will post the updated Terms on our Services. Your continued use of the Services after the changes are posted means you accept the revised Terms.
